• "Service" or "Services" refers to the My Client Builder website, software, customer relationship management (CRM) platform, artificial intelligence tools, automations, websites, funnels, marketing services, consulting services, communications, content, and all related products, features, and services provided by My Client Builder.

• "User," "you," and "your" refer to any individual or legal entity that accesses, registers for, purchases, or otherwise uses the Services.

4. Acceptance of Electronic Communications

By providing your contact information, you consent to receive communications from My Client Builder via:

  • Email
  • SMS/Text Messages
  • Phone Calls
  • Automated Notifications

You understand:

  • Message frequency varies.
  • Message and data rates may apply.
  • Text STOP to opt out of SMS communications.
  • Text HELP for assistance.

We are not responsible for delayed or undelivered communications due to carrier issues or incorrect contact information.

Program Description:

We send appointment confirmations, service updates, and promotional offers to users who have opted in.

Cancellations & Opt-Out:

You can cancel the SMS service at any time. Just text "STOP" to the phone number. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again.

If you are experiencing issues with the messaging program you can reply with the keyword HELP for more assistance, or you can get help directly at [email protected] or +1 (423) 845-4314 .

Carrier Liability:

Carriers are not liable for delayed or undelivered messages.

Message Frequency & Cost:

As always, message and data rates may apply for any messages sent to you from us and to us from you. You will receive messages at a variable frequency. If you have any questions about your text plan or data plan, it is best to contact your wireless provider.

5. Accounts

If you create an account, you agree to:

• Maintain accurate account information.

• Protect your password.

• Maintain the confidentiality of your account.

• Notify us immediately of unauthorized access.

You are responsible for all activity occurring under your account.

6. Subscription Services

Certain Services are provided on a recurring subscription basis.

Subscriptions automatically renew until cancelled.

You authorize us to charge your selected payment method for recurring subscription fees.

You may cancel your subscription at any time.

Unless otherwise specified in writing, cancellations become effective at the end of the current billing cycle.

No partial-month refunds will be issued.

 

7. Free Trial (Build Plan)

The BUILD plan, the first tier of services offered by My Client Builder, may be available with a 21-day free trial for eligible customers.

If a free trial is offered, no monthly subscription fee will be charged during the trial period. Unless you cancel your subscription before the end of the 21-day trial, the payment method you provided at signup will automatically be charged the then-current monthly subscription fee, and your subscription will continue on a month-to-month basis until canceled in accordance with these Terms.

My Client Builder reserves the right to modify, limit, or discontinue free trial offers at any time, with or without notice, and to determine eligibility for any promotional offer at its sole discretion.

8. Payments

Payments are processed securely through third-party payment processors including Stripe.

You authorize us to charge all fees associated with your account.

If payment cannot be processed, we reserve the right to suspend or terminate Services.

 

9. Refund Policy

Unless otherwise stated in a written agreement or promotional offer:

• All sales are final.

• Subscription fees are non-refundable.

• Setup fees are non-refundable.

• Custom development work is non-refundable.

• Prorated refunds for partial months of service are not provided unless required by applicable law.

If we cancel an order before work begins, we will refund amounts already paid.

10. Chargebacks

You agree to contact My Client Builder before initiating any chargeback or payment dispute.

Fraudulent or abusive chargebacks may result in:

  • Immediate account suspension
  • Collection efforts
  • Legal action
  • Recovery of attorney fees where permitted by law

 

11. Acceptable Use

You agree not to:

• Violate any law.

• Send spam.

• Use purchased email lists.

• Use purchased SMS lists.

• Harass others.

• Upload malicious software.

• Attempt unauthorized access.

• Reverse engineer our software.

• Copy proprietary materials.

• Infringe intellectual property.

• Submit false information.

• Use our Services to conduct fraudulent activities.

• Interfere with the operation of our platform.

Violation may result in immediate suspension or termination.

12. Marketing Compliance

You are solely responsible for ensuring your use of our platform complies with all applicable laws and regulations, including but not limited to:

  • TCPA
  • CAN-SPAM Act
  • Telephone Consumer Protection Act
  • Applicable anti-spam laws
  • Email marketing regulations
  • SMS consent requirements
  • Privacy regulations applicable to your jurisdiction

My Client Builder provides software and services but is not responsible for your legal compliance or marketing practices.

 

13. Intellectual Property

All software, workflows, templates, graphics, videos, documents, automation, branding, logos, designs, content, source code, AI prompts, and educational materials created or provided by My Client Builder remain our exclusive intellectual property unless otherwise agreed in writing.

No license or ownership is transferred except the limited right to use our Services as intended.

14. Client Content

You retain ownership of content you provide, including:

  • Logos
  • Photos
  • Videos
  • Customer information
  • Marketing materials
  • Business information

You grant My Client Builder a limited license to use such content solely for providing Services.

You represent that you have all necessary rights to submit such content.

 

15. Third-Party Services

Our Services integrate with or rely upon third-party providers including, but not limited to:

• Stripe

• Google

• Meta

• GoHighLevel

• OpenAI

• Cloudflare

These providers operate independently.

My Client Builder is not responsible for:

• Service outages

• Downtime

• Policy changes

• API limitations

• Pricing changes

• Data loss

• Service interruptions

• Account suspensions imposed by third-party providers

Your use of those services remains subject to their respective terms and policies.

16. No Guarantee of Results

Although we strive to help businesses grow, we do not guarantee:

  • Revenue increases
  • Sales increases
  • Lead generation
  • Search engine rankings
  • Website traffic
  • Return on investment
  • Customer acquisition
  • Business growth

Results depend upon numerous factors beyond our control, including your industry, competition, pricing, marketing efforts, follow-up, customer experience, advertising budgets, and market conditions.

Past performance does not guarantee future results.

 

17. Availability of Services

We strive to maintain reliable access to our Services.

However, we do not guarantee uninterrupted availability.

Maintenance, updates, technical issues, internet outages, cyberattacks, or third-party failures may temporarily interrupt Services.

18. Confidentiality

Both parties agree to keep confidential any non-public business information disclosed during the course of providing Services unless disclosure is required by law.

 

19. Feedback

If you provide suggestions, recommendations, or feedback regarding our Services, you grant My Client Builder a perpetual, worldwide, royalty-free license to use such feedback without compensation.

20. Beta Features

Occasionally we may release beta or experimental features. These features are provided "as-is" and may change, malfunction, or be discontinued without notice.

 

21. Data Retention

Following cancellation or termination of your account, we may retain account information for a reasonable period to comply with legal obligations or facilitate account restoration.

Unless otherwise required by law, we may permanently delete account data after thirty (30) days following account termination.

22. Suspension and Termination

We may suspend or terminate your access immediately if:

  • You violate these Terms.
  • Payments fail.
  • Fraud is suspected.
  • Spam complaints occur.
  • Illegal activity is detected.
  • Platform abuse occurs.

Upon termination, your right to access the Services immediately ends.

 

23. Disclaimer of Warranties

Our Services are provided "AS IS" and "AS AVAILABLE."

To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

• Merchantability

• Fitness for a particular purpose

• Non-infringement

• Accuracy

• Reliability

•Availability

24. Limitation of Liability

To the fullest extent permitted by law, My Client Builder, Luke Edward Nelson, and our officers, employees, contractors, affiliates, and agents shall not be liable for:

  • Indirect damages
  • Consequential damages
  • Incidental damages
  • Lost profits
  • Lost revenue
  • Lost business opportunities
  • Data loss
  • Service interruptions
  • Third-party failures

Our total liability shall never exceed the amount paid by you to My Client Builder during the three (3) months immediately preceding the event giving rise to the claim.

 

25. Indemnification

You agree to defend, indemnify, and hold harmless My Client Builder and its owners, employees, contractors, affiliates, and agents from any claims, damages, losses, liabilities, costs, or expenses arising from:

• Your use of the Services

• Your violation of these Terms

• Your violation of any law

• Your infringement of another person's rights

26. Force Majeure

My Client Builder shall not be liable for delays or failures resulting from causes beyond our reasonable control, including:

  • Natural disasters
  • Internet outages
  • Government actions
  • War
  • Terrorism
  • Labor disputes
  • Utility failures
  • Cloud service outages
  • Cyberattacks
  • Pandemics

 

27. Consumer Protection

Nothing contained in these Terms limits any rights that cannot legally be excluded under applicable consumer protection laws.

28. Governing Law

These Terms shall be governed by the laws of the State of Tennessee, without regard to conflict of law principles. Any legal action arising from these Terms shall be brought in the appropriate state or federal courts located within Tennessee.

 

29. Entire Agreement

These Terms, together with our Privacy Policy and any signed service agreements, constitute the entire agreement between you and My Client Builder regarding the Services.

They supersede all prior agreements or understandings relating to the Services.

30. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

 

31. Changes to These Terms

We reserve the right to modify these Terms at any time.

Material changes will be posted on our website with an updated Effective Date.

Continued use of the Services after such changes constitutes acceptance of the revised Terms.
